To facilitate the trading of individual corporate bonds,
Smart Invest Securities Joint Stock Company (AAS) would like to send to Valued Investors (Investors) the following instructions for participating in the trading of individual corporate bonds on the individual bond trading system at HNX:
1. Overview of individual corporate bonds (ICB)– Privately placed corporate bonds are a type of bond not offered through mass media and by one of the following methods:+ Offered to fewer than 100 investors, excluding professional securities investors;+ Offered only to professional securities investors.- ICBs that have been centrally deposited at the Vietnam Securities Depository and Clearing Corporation (VSDC) and have registered for centralized trading on the system of the Hanoi Stock Exchange (HNX)
2. Conditions for trading ICBs– Have registered to trade individual bonds at AAS and been accepted by VSDC
at least 01 working day before starting to trade (or according to the regulations of the managing authority in each period).- Be a professional securities investor as defined by securities law when purchasing individual bonds.- Have signed the Information Confirmation Form for the bond code as specified in Appendix V of Decree 65/2022/ND-CP before starting to trade. (Applied per code).
3. General regulations on ICB trading3.1 General regulations– Trading volume unit: 01 bond.- Minimum trading volume: 01 bond.- Price quotation unit: 01 VND.- Trading date (T-day) is the day the individual bond is traded and matched on the stock exchange.- Payment term: T-day- Order modification/cancellation rules:+ Tradable orders can be modified or canceled: Orders that have not been confirmed by both the buyer and seller on the HNX bond trading system.+ For orders that have been confirmed by both the buyer and seller on the HNX bond trading system, cancellation or modification can only be done in accordance with the law.
3.2 Trading hours– From Monday to Friday weekly, excluding regulated holidays, with 2 trading sessions, specifically:+ Morning session from 09:00 – 11:30+ Afternoon session from 13:00 – 14:45+ Lunch break from 11:30 – 13:00
3.3 Trading method: Put-through transaction
3.4 Payment method:+ Immediate payment / End-of-day payment (T+0)+ Depending on the payment method, the payment time varies during the day.
4. ICB Trading ProcessStep 1: Open a securities trading account and register for ICB trading. Clients can place orders after registering for individual bond trading at AAS and being accepted by VSDC for
at least 01 day.
Step 2: Trading conditions- When placing a buy order for an ICB: The client must be a professional securities investor and have sufficient funds for the transaction.- When placing a sell order for an ICB: The client must have a sufficient quantity of the ICB to sell before placing the order.
Step 3: Sign the “Investor’s Confirmation before Purchasing Bonds” and place a trading order- Fill out and sign the ICB buy/sell order form directly at the AAS trading counter, or place the order online as provided by AAS from time to time.- Sign the document “Appendix V – Investor’s Confirmation before Purchasing Bonds”.
Step 4: Check the order result:- The order-taking staff will announce the transaction result, or the client can view the order result online as provided by AAS from time to time.
Step 5: Payment- The payment execution time for an ICB transaction will depend on the payment method the client selected when placing the order.+ If the client chooses the immediate payment method: The transaction will be settled during trading hours. The client will receive the money/ICB after the order is matched and the counterparty has paid for the ICB/money.+ If the client chooses the end-of-day payment method: The client will receive the money/ICB after trading hours.
5. How to determine Professional Securities Investor status5.1 For organizations– Commercial banks, foreign bank branches, financial companies, insurance business organizations, securities companies, securities investment fund management companies, securities investment companies, securities investment funds, international financial institutions, non-budget state financial funds, state financial organizations are allowed to purchase securities according to relevant legal provisions;- Companies with contributed charter capital of over 100 billion VND or listed organizations, registered trading organizations.
5.2 For individuals– Hold a securities practice certificate.- Individuals holding a portfolio of listed, registered securities with a minimum value of 02 billion VND, determined by the average daily market value of the securities portfolio for a period of at least 180 consecutive days prior to the date of determining professional securities investor status, excluding the value of margin trading loans and the value of securities in repurchase transactions).- Individuals with a taxable income in the most recent year of at least 01 billion VND (the year preceding the year of bond purchase). Within 01 year from the time of being identified as a professional securities investor by a securities company, the investor does not have to re-determine their professional securities investor status when participating in purchasing ICBs.
6. Other notes– When registering for ICB trading at AAS, Investors will be opened sub-account 08 for ICB trading to execute transactions.- For Investors who have not yet deposited their bonds, they can deposit their bonds at AAS to trade when needed.- Due to the specific nature of ICB trading being put-through transactions, Investors are kindly requested to contact AAS staff in advance when they need to trade to receive the best support.- Advance payment for ICBs matched during the day is not permitted.- Transferring bonds from the ICB trading sub-account to other sub-accounts and other securities from other sub-accounts to the ICB sub-account is not allowed.- If a client opens a depository account at a commercial bank, they can only place trading orders through the securities company; the payment of money and bonds is carried out at the commercial bank.”
